Hampton Financial, which holds 325,000 shares of Icon Energy and represents about 9% of the company, has sent a letter to Icon's management requesting changes to preferred shares, dividend arrangements, and corporate governance. This action comes after it was claimed that the issuance of common shares amounting to $25 million since the company's entry into the Nasdaq stock market in 2024 has severely harmed ordinary shareholders.

Claims of Hampton Financial

Hampton Financial, led by Peter Dibb, Chairman and CEO, claims that ordinary shareholders of Icon Energy have faced significant losses and therefore demands a review of how the preferred shares held by the controlling shareholder and CEO, Ismini Panagiotidi, are handled. This investor also suggests that Icon exchange the existing Series A preferred shares for a new instrument with a nominal value of $20 million, with a fixed cash dividend of 6% and conversion rights at a price of $5 per common share. Other demands from Hampton include a one-to-one dividend payment for ordinary shareholders and the appointment of a board member by Hampton.

Consequences and Current Status

Hampton Financial argues that these actions could alleviate concerns about share dilution while maintaining Panagiotidi's control over the business. However, the proposed measures have not yet been accepted or implemented, and no legal action has been filed.

Icon Energy, established in 2023, operates three cargo ships and entered the Nasdaq market in July 2024, subsequently expanding its fleet through second-hand purchases. The company's latest business moves include a contract with the 63,668 deadweight ton (dwt) ultra-max vessel Charlie on an index-linked charter until 2027 and a minority investment in two container ship projects. This investment, announced in June, marks Icon's first public venture outside of dry cargo transportation.
