Genco Shipping & Trading has extended the expiration date of its shareholder rights plan to strengthen its defense against potential takeovers, from September 30, 2026, to September 30, 2027. This decision follows the failure of Diana Shipping's long-term efforts to acquire the company.
Details of the Rights Plan Changes
Genco announced the plan on Friday and addressed significant changes to the terms related to purchase offers. For example, the period considered for determining the minimum price of a qualifying purchase offer has been reduced from 24 months to 12 months. This change means that bidders must determine a suitable price in a shorter timeframe.

Additionally, the company has changed the existing timeframes for reviewing qualifying purchase offers and holding a special shareholders' meeting from 90 business days to 90 calendar days. Furthermore, in the event of ongoing negative effects, bidders will be allowed to withdraw. Other aspects of the rights plan remain unchanged.
Background and Implications
In light of Diana Shipping's unsuccessful attempts to acquire the company, Genco Shipping & Trading is seeking to strengthen its position in the market. Last August, Diana withdrew its offer and was rapidly reducing its stake in Genco. By early September, the ownership of the company had decreased to about 9.5%, valued at approximately $56.8 million.
These developments reflect existing tensions in the shipping market and intense competition among shipping companies. By extending its rights plan, Genco aims to protect itself from market fluctuations and unwanted offers. The company has also referenced shareholder feedback during its annual meeting in June and stated that it is continuously reviewing this plan.
