A.P. Moller Capital, an investor based in Copenhagen, has reached an agreement to take control of Euroports. This company is considered one of the largest cargo and breakbulk terminal platforms in Europe, and with this deal, it expands its transportation infrastructure portfolio.

Details of the Euroports Share Purchase

A.P. Moller Capital has agreed to purchase 53.35% of the shares of Thome Group, the holding company behind Euroports, from R-Logitech and Belgian public investment groups SFPIM and PMV. These two groups will remain as shareholders after the completion of the transaction. The final purchase price has not been disclosed, and R-Logitech has stated that the final amount depends on Euroports' cumulative EBITDA for the fiscal year ending December 31, 2026. This deal requires regulatory and competitive approvals, which are expected to be completed in the first quarter of 2027.

Operations of Euroports and Its Importance

Euroports operates over 50 deep-sea and inland terminals in 10 European countries and China, managing more than 70 million tons of dry cargo, breakbulk, and liquid cargo annually. The group employs around 3,000 people and also controls the transport business Manuport Logistics, which operates in over 20 countries.

This deal marks A.P. Moller Capital's second major investment in European ports. Last year, this investor, with the support of A.P. Moller Holding, acquired 51% of the shares of the Spanish port and logistics operator BERGÉ, which operates in Iberia and Latin America.

The shares of Euroports were part of a structured sales process while R-Logitech was working on a comprehensive restructuring of its balance sheet. Proceeds related to R-Logitech are allocated to part of the repayment of secured financing and claims of noteholders.
