Shell, a subsidiary of the British energy giant, has completed the sale of its non-operating oil assets in the Gulf of America. The agreement includes the sale of Shell's 50% non-operating stake in the Na Kika platform and related fields, as well as 100% of the stake in Coulomb to a subsidiary of Talos Energy and an affiliate of Ridgewood Energy.

Financial Details of the Deal

The company received approximately $840 million in cash from this transaction, which includes adjustments between the effective date of July 1, 2025, and the closing of the deal. The total value announced at the time of signing was $1.7 billion, calculated before standard adjustments and some contingent payments.

Benefits of the Agreement for Shell

Shell will benefit from uncapped payments related to increased production from the new Na Kika platforms in the coming years. BP, as the operator of Na Kika, retains the remaining 50% stake. This deal also includes buyers' commitments to certain indirect obligations and providing financing in this regard, while Shell will retain the right to draw from Na Kika and Coulomb through negotiated agreements with the buyers.

This transaction is part of Shell's efforts to actively shape its asset portfolio to ensure a resilient and increasingly competitive upstream business. For 2025, the company's production share from these assets was 37,000 barrels of oil equivalent per day.

According to Shell's modeling, Na Kika and Coulomb are expected to no longer be significant production sources by 2030. The company's proven reserves at the end of 2025 for Na Kika were 4.3 million barrels of oil equivalent and for Coulomb, 7.2 million barrels of oil equivalent.

Impact on Talos Energy

Talos Energy also confirmed the closing of this acquisition and emphasized that this agreement includes a 50% stake and operational responsibility in the Coulomb field and a 25% non-operating stake in the Na Kika platform and four related fields. Paul Goodfellow, President and CEO of Talos, stated that this agreement is an important step in their strategy to create a scalable and long-lived portfolio.
