Members of the UK P&I Club and TT Club voted in favor of merging the two entities during special general meetings held on October 7 and 8, 2023. This merger is aimed at creating United Transport Mutual Limited (UTM), which will be a mutual insurer in the field of transportation, including shipping, logistics, ports, and terminals.

Merger Details and Effective Date

Consultations regarding this merger began in September, and based on the results of these consultations, members reached this agreement in separate meetings. The UTM merger will take effect on February 20, 2027, subject to regulatory approval. The UK P&I Club insures over 250 million tons of cargo, while TT Club covers about 80 percent of the world's container fleet.

Financial Expectations and Implications of the Merger

The merged group expects annual insurance revenue to reach approximately $750 million, and its free reserves to increase to about $888 million. The two entities stated that the merger could improve the combined ratio by about 5 percent and enhance financial capacity, technical resources, and access to specialized expertise. In this regard, both entities will retain their names and brands, and will have their own underwriting teams, claims operations, and separate committees.

Meanwhile, Morten Engelstoft, Chairman of TT Club, stated: "For over 50 years, TT Club and UK P&I Club have worked alongside each other, so this merger is a natural evolution of a relationship built on shared values."

Andrew Taylor will be appointed as the new Chief Executive of UTM, while William Burge will succeed him as Chief Executive of UK P&I Club, and Kevin King will remain as Chief Executive of TT Club. Niels Smedgaard, who has served on the boards of both entities, has been appointed as Chairman of UTM.

The merged entities announced that members, brokers, and clients will not see any immediate changes in their day-to-day service arrangements during the transition.
