A.P. Moller Capital will be recognized as the majority shareholder of Euroports by agreeing to purchase 53.35% of the shares of Thaumas N.V., which indirectly owns Euroports. This deal involves investment through a separate management fund supported by A.P. Moller Holding.
Financial Details and Future Impacts
The financial details of this transaction have not been disclosed, but R-Logitech announced that the final purchase price will be dependent on Euroports' cumulative EBITDA for the year 2026. Regulatory approvals and other necessary permits are expected to be issued in the first quarter of 2027.
Euroports manages over 70 million tons of cargo annually, including raw materials, agricultural products, sugar, fruit, forest products, metals, and minerals, across more than 50 deep and inland terminals in 10 European countries and China. The company employs approximately 3,000 people.
Management Structure and Future of Euroports
A.P. Moller Capital has emphasized that the management structure, governance framework, and strategic direction of Euroports will be maintained following this transaction. The new ownership group plans to further expand Euroports' operations, including efforts to increase cargo volumes and attract new customers.
Kim Fejfer, Managing Partner and CEO of A.P. Moller Capital, described Euroports as one of the largest non-container port infrastructure operators in Europe, adding that the company manages cargo that supports industries, food systems, and production in Europe.
Euroports' CEO, Frédéric Platini, stated that the new ownership structure transforms the company into a platform for further expansion. This deal marks the beginning of a new chapter for Euroports and provides a strong foundation for the company's continued growth.
Impact on Belgian Public Investments
This transaction also includes a strategic infrastructure component for Belgian public investment groups. Koen Van Loo, CEO of SFPIM, stated that the fund intends to remain an investor and continue its efforts to retain important assets in Belgium.
The Euroports deal is A.P. Moller Capital's second major investment in European port and logistics infrastructure following its investment in BERGÉ Logistics in Spain. This agreement further expands this infrastructure manager's exposure to bulk and breakbulk cargo flows in Europe.
